Your Role as Corporate Counsel:
Reporting to the Chief Financial Officer, Appspace is seeking a Corporate Counsel to support the Company’s contract operations (Legal, Compliance, Data Privacy, IP, and M&A) as well as optimize the organization’s legal services by implementing processes, practices, and systems to improve the efficiency, effectiveness, and performance of legal operations, facilitate change, and control costs.
A Day in the Life of Corporate Counsel:
- Supports business operations and customer facing groups by providing legal advice and recommendations on day-to-day legal issues, enabling stakeholders to meet business objectives within the Company's risk tolerance.
- Draft, review, and negotiate contracts, software licensing, and other key agreements as well as advise on contract disputes.
- Develop strategies for handling legal issues in creative, business-centric ways and build processes that address risk and allow the business flexibility and freedom to move quickly.
- Drives programs to enhance in-house efficiency, standardization of processes, enhanced cost controls and strategies, creation and tracking of performance, cost, and other metrics.
- Evaluate and make suggestions regarding legal services technology roadmap to drive effectiveness and efficiency.
- Identify legal risks and execute a mitigation plan by understanding legal issues and translating them into practical legal advice and counsel to key stakeholders.
- Conduct legal research; provide legal advice on routine issues impacting the business; Analyze and summarize routine legal documents.
- Serving as a legal resource for corporate governance matters and participating in the development and implementation of corporate governance policies and procedures
- Provide legal and strategic business advice to internal stakeholders to ensure commercial agreements are consistent with internal corporate policies and processes
- Utilize expertise to manage engagement of and relationships with outside counsel/advisors
- Build internal Legal and Operational knowledge management processes and capabilities
- Support M&A engagements, including analysis and execution
- Advise on contract provisions such as confidentiality, privacy, compliance, insurance
- Lead contract workflow process, management of contract templates, and implement strategies to create efficiencies
- As needed coordinates billing with external firms and assists with maintaining the legal budget
What You’ll Need:
- JD, licensed to practice w/ 7+ years professional legal experience; law firm experience preferred
- Strong financial acumen and excellent analytical, critical thinking, and problem-solving skills
- Demonstrated experience building, running, managing legal programs, projects, and processes
- Demonstrated ability to independently move projects forward by gaining support from others and to work collaboratively with cross-functional groups to set objectives, drive progress, and produce meaningful results
- Strong understanding of corporate and commercial law
- Experience working with foreign entities and international legal matters desired
- Experience in-house for a technology company preferred
- Comfortable managing competing priorities/deadlines while maintaining quality work product
- Demonstrated interest in legal tech, legal ops, and finding innovative ways to scale legal function
- Work efficiently with a client-service focus in a fast-paced, dynamic environment
- Ability to maintain productive work relationships and work collaboratively with subject matter experts to research and resolve issues
- Outstanding written and verbal communication skills
