Overview: Nielsen is seeking an Assistant General Counsel and Corporate Secretary to join its Legal Department, reporting to the Chief Legal and Business Affairs Officer. This position will lead the Corporate Secretary function at Nielsen and provide guidance and counsel regarding corporate governance as well as other corporate legal issues.
\n- Provide advice and legal counsel on a range of corporate governance matters and oversee Nielsen’s global legal entity management, including preparing corporate organizational and governance documents and maintaining books and records
- Support the Board of Directors and its Committees, including preparing agendas, minutes, and resolutions for Board and Committee meetings and collaborating with the executive team and other internal stakeholders to prepare Board materials
- Assist in the administration of company policies and procedures related to corporate governance
- Advise on corporate legal aspects of debt financing, M&A and other strategic transactions
- Partner with Tax, Treasury, and Accounting on legal entity rationalization efforts and to complete dividend, loan, and other corporate transactions
- Collaborate with Treasury and other departments on debt covenant compliance, financial reporting, and investor relations
- Partner with Executive Compensation team regarding equity administration and compensation matters
- Advise on ESG reporting and other related matters
- Provide legal support to internal committees and boards
- Responsible for know-your-customer / ultimate beneficial ownership compliance
- Monitor corporate governance best practices and regulatory and legislative developments and advise on compliance with applicable standards
- 5-7 years of relevant experience and Juris Doctorate degree from an accredited law school
- Current member of a state bar and in good standing with the ability to become barred or a registered in-house counsel in applicable jurisdiction as needed
- Experience in law firm and/or in-house corporate secretary function; IPO experience is a plus
- Strong knowledge and understanding of corporate law, corporate governance and related best practices
- Ability to collaborate cross-functionally and with executives, external auditors, outside counsel, etc.
- Ability to clearly communicate complex legal and compliance issues verbally and in writing
- Ability to be proactive, anticipate the needs of clients and managers, exercise independent judgment and manage multiple projects simultaneously
- Previous public company experience a plus

A reasonable estimate of salary range for a new employee to be offered this role would be between $60,000 - $225,000, which would be adjusted based on each employee's geographic location. The position of each employee within a compensation range at Nielsen is dependent on several individual circumstances, such as experience, training, certifications, and other business requirements/needs.
