Mission of the Role
The Contracts and Marketing Attorney role is for a collaborative, experienced, and detail-oriented individual who can negotiate, interpret, and administer contracts to support Curology’s growing and dynamic business and stay current on relevant business registrations. Collaborates cross-functionally with the marketing, production, supply chain, finance, technology, and IT teams. Primarily reviews, drafts, and negotiates a variety of commercial agreements for Curology’s business initiatives, including, but not limited to, SaaS, master supplier, data sharing, data processing, non-disclosure, talent release, influencer, and production agreements. Exercises excellent legal and business judgment and maintains a respectful and constructive style in providing legal support to Curology’s business teams. This role will also perform legal review of Curology’s marketing material to make sure it complies with applicable laws and internal policies.
\n- Structure, negotiate, and review commercial, vendor, supply chain, manufacturing, raw materials, marketing, licensing, talent, production, consulting, nondisclosure, data sharing, IT, and other related agreements
- Draft new contract templates and/or update templates as new business needs arise
- Providing timely, proactive, and practical business-oriented legal advice to various internal departments on legal issues and risks, business rewards, and negotiation strategies
- Ensure agreements comply with the company’s policies and risk tolerance; review and revise policies as needed with guiding principles for negotiation and standard template language
- Create and implement processes, procedures, and templates for managing the steady flow of agreements, and manage the company’s contract management system, Ironclad.
- Assist business teams with contract termination and amendments
- Keep all state business filings current and in good standing
- Review advertising materials and provides legal guidance and recommendations
- 2+ years of relevant attorney work experience at law firms and/or high-growth companies working on commercial contracts
- Admitted to the bar and in good standing
- Experience drafting commercial agreements and advising clients in negotiating contract terms
- Familiarity with contract management software such as Ironclad
- Familiarity with FTC and FDA regulations on advertising cosmetic and drug products, and familiarity with marketing materials review a plus
- Excellent organizational skills and the ability to manage several simultaneous projects with competing priorities
- Effective and collaborative communication (written and verbal) skills
- Ability to foster beneficial relationships with key stakeholders and to act as resource to colleagues
- Comfortable making decisions and taking ownership over projects
- Strong attention to detail Independent self-starter with ability to deliver results to business teams in a fast-paced and dynamic environment
