The Role:
Horizen Labs is seeking a Senior Legal Counsel to join its team. Reporting to the COO, the attorney will act as a corporate generalist, providing practical, business-minded legal advice and transactional support across Horizen Labs’ crypto and blockchain businesses. This role focuses on enabling efficient legal solutions to support the development of innovative products and services involving digital assets and blockchain technology. The candidate should have a minimum of 4 years of corporate or technology law experience, preferably with crypto or blockchain experience, and should have or be willing to quickly familiarize oneself with an understanding of blockchain technology and crypto markets.
What You’ll Own:
- Provide strategic, business-focused legal advice across a wide range of matters, ensuring alignment with the company’s goals while managing risk effectively.
- Draft, review, and negotiate contracts and other legal documents
- Serve as a corporate generalist, handling diverse legal needs in areas such as corporate/commercial law, securities, intellectual property, employment, privacy, marketing, and regulatory compliance.
- Oversee and provide transactional support, as well as manage external counsel on investment and acquisitions, and other corporate transactions
- Deal lawyer--lead negotiations for complex business development agreements, as well as, willing and able to roll up your sleeves and get into the details of major deals
- Serve as the primary legal advisor for fundraising efforts, ensuring compliance with U.S. securities laws and European regulatory requirements.
- Monitor and advise on evolving regulatory landscapes (e.g., SEC actions, MiCA) and their potential impact on the company’s strategies.
- Collaborate with cross-functional teams, including executives and product managers, to deliver efficient, business-oriented legal solutions that empower growth.
- Strong communicator and solid project manager, able to effectively prioritize and advance a large number of deals happening simultaneously, often on tight deadlines.
- Solid understanding of banking operations, payment network rules, and other financial services regulatory issues in the crypto sector.
- Develop and maintain scalable legal processes to support the company’s rapid expansion and ensure operational efficiency.
Skills and Qualifications:
- J.D. from an accredited law school and eligible to practice law in the U.S
- 4-7 years experience at a major law firm and/or large corporation in-house experience in technology or fintech
- At least 2 years of experience in the Web3 / blockchain / crypto industry
- Entrepreneurial mindset and ability to thrive in a fast-paced, dynamic environment.
- Business acumen with the ability to align legal strategy with broader business objectives
- Experience in one or more of the following substantive legal areas: corporate law, investment/acquisitions, intellectual property and/or securities law
- Strong legal drafting and communication skills (verbal and written)
- Ability to work independently with minimal supervision, as well as with colleagues
- Ability to work well under pressure, anticipate upcoming needs and prioritize tasks appropriately
- A customer service focus and the ability to work collaboratively with internal partners
- Team player who acts with a sense of urgency and adapts to a fast-paced and ever-changing environment
- Ability to solve complex problems; resourceful and takes initiative to seek internal and external resources when problem-solving
